ARTICLE I
The name of the corporation is Clandon Park Estates Homeowners Association.
The principal office of the corporation shall be located at (the home
of the president), but meetings of members and committees may be held
at such places within the State of Ohio as mutually agreed upon by those
involved.
ARTICLE II - Meeting of Members
There shall be two meetings of the general membership held each year, usually spring and fall.
At the spring meeting the annual fiscal report shall be presented and every other year the election of the
Executive Committee. Appropriate business shall be conducted at the fall meeting.
Additional meetings of the membership may be called by the Executive Committee by written notice seven
(7) days prior to the meeting.
ARTICLE III - Executive Committee Term of Office
- The affairs of the Association shall be managed by an Executive Committee
who shall be members in good standing of the Association and shall reside
in Clandon Park Estates.
- The Executive Committee shall consist of the President, Vice President, Secretary, and Treasurer, each serving
a two(2) year term. By approval of the membership, each position may be shared by more than one person.
- The President shall have the authority to appoint a new member to the Executive Committee to temporarily fill a
vacancy. Any member so appointed may, with the approval of the other committee members, serve the balance of the
unexpired term of the retiring committee member.
- The members of all the Committees shall be voluntary and announced at the spring membership.
- Any member of the Association may nominate another member to hold a position on the Executive Committee.
- Election of the Executive Committee shall be by a show of hands. Persons
receiving the largest number of votes shall be elected.
ARTICLE IV - The Executive Committee
- Regular meetings of the Executive Committee shall be held at least
two(2) times per year within two(2) weeks prior to the bi-annual general
membership meetings at such place and time selected by the President.
- Special meetings of the Executive Committee shall be held when called by the President of the Association.
- A majority of the committee members shall constitute a quorum for the transaction of business.
- The Executive Committee shall consist of the President, Vice President, Treasurer, and Secretary.
- Officers - Duty.
- President - the President shall preside at all meetings of the Executive Committee and shall see that
order and resolutions of the committee are carried out.
- Vice President - shall act in the place of the President in the vent of his/her absence and shall exercise
and discharge such duties as may be required by the committee.
- Secretary - shall record all votes and keep minutes of all meetings and proceedings of the committee and of members,
serve notice to all members of meetings, and perform other duties as may be required by the committee.
- Treasurer - shall receive and deposit in appropriate bank accounts
all funds of the Association, and shall disburse such funds as directed
by the Executive Committee; shall sign all checks of the Association,
keep proper books of account, and shall prepare an annual budget,
a statement of income and expenditures, an annual and fiscal report
to be presented at the spring membership meeting.
ARTICLE V - Committees
The Executive Committee shall establish the following committees: (1)
Nominating Committee, (2) Membership Welcome Committee, (3) Landscape
Committee, (4) Activities Committee, and may authorize such other committees
as it may deem appropriate. Each committee will consist of three(3) or
more members.
- Nominating Committee - shall seek nominations for four(4) elected offices of the Association three(3) weeks
prior to the scheduled spring meeting of the Association.
The Nominating Committee shall contact each nominated
person to determine their interest in serving in one of the four(4) offices.
One week prior to the spring meeting, the Nominating Committee shall publish a list of all interested
candidates for office

ARTICLE VI
Each member is obligated to pay to the Association annual dues which
will be due on the first day of April of each fiscal year. The fiscal
year being April 1 to March 31st.
- Annual dues shall be $40.00, or such dues as voted upon by the majority of the general membership.
- Members whose dues are in arrears will not be allowed voting privileges.
- To be eligible to vote members principle place of residence must be Clandon Park Estates.
ARTICLE VII
- An annual budget shall be drawn by the spring meeting of each calendar year and presented at the spring
meeting.
- All expenditures over fifty dollars ($50.00) must be approved by a majority of the Executive Committee.
ARTICLE VIII
The Articles of Incorporation and Regulations of Clandon Park Estates may be amended, altered, changed, added to,
or repealed by the affirmative vote of a two-thirds majority of those members in attendance at any regular or
special meeting of the members, if notice of such proposal is contained in the notice of the meeting.
Any laws of the City of Solon, Cuyahoga County, The State of Ohio, or the Federal Government are to have preference
over the Articles of Incorporation and Articles of Regulations of Clandon Park Estates.
